Terms and Conditions of Sale

Preamble

These General Terms and Conditions of Sale («GTC») govern the contractual relationship between the SASU BLACK TENDERS EVENTS, hereinafter referred to as «Black Tenders», with a capital of €45,000, RCS Cannes 823 982 442, registered office at 9025 B Boulevard du Bon Puits, 06210 Mandelieu-la-Napoule, and any adult natural person (or duly represented legal entity) booking a service on blacktenders.fr or through one of its distribution channels, hereinafter referred to as «the Client».

Any reservation implies full and complete acceptance of these General Terms and Conditions of Sale. The applicable General Terms and Conditions of Sale are those in effect on the date of the reservation. Black Tenders may modify its General Terms and Conditions of Sale at any time; the version published on the website is authentic.

Article 1. Definitions

  • Service / Excursion: Any sea excursion, maritime transfer, boat privatization, or nautical service offered by Black Tenders.
  • Skipper : Professional captain, sole master on board within the meaning of the Transport Code, holding the qualifications required by maritime regulations.
  • Ship: boat operated by Black Tenders, registered and equipped in accordance with Division 240 or 241 of the Ship Safety Regulations.
  • Partner platform any third-party platform (GetYourGuide, partner hotels, concierges) through which a reservation can be made.
  • Voucher / Confirmation Voucher Document given to Client after payment, valid as reservation title.
  • Force majeure external, unforeseeable, and irresistible event making the performance of the service impossible or dangerous, within the meaning of Article 1218 of the Civil Code and applicable case law.

Article 2. Services Offered

Black Tenders primarily offers:

  • private sea excursions by tender or motorboat between Monaco and Saint-Tropez; ;
  • private maritime transport; ;
  • Half-day or full-day boat charters; ;
  • ancillary services: onboard services, catering coordination, nautical event organization.

The essential characteristics of each service (duration, indicative itinerary, maximum capacity, equipment, inclusions, exclusions) are described on the corresponding product sheet.

The communicated itineraries are provided for guidance only. The skipper is solely responsible for the final itinerary, which they will adapt based on sea conditions, weather, maritime regulations, and passenger safety.

Article 3. Booking Channels and Legal Qualification

3.1 Direct booking on blacktenders.fr

The service contract is concluded directly between the Client and Black Tenders, which acts as the main operator. These GTC apply in their entirety.

3.2 Booking via a partner platform

When a booking is made through a third-party platform (particularly GetYourGuide acting as a commercial agent), a direct service contract is concluded between the Client and Black Tenders. The platform acts as a booking intermediary and is not a party to the service contract. The platform's General Terms and Conditions govern the purchase conditions of the voucher; these General Terms and Conditions govern the excursion service itself, including the conditions of execution, cancellation for operational or weather reasons, and on-board liability.

In case of contradiction between the platform's T&Cs and these T&Cs regarding the effective performance of the service, these T&Cs shall prevail. In case of contradiction regarding the commercial policy for cancellation or refund, the T&Cs of the platform used for the booking shall prevail.

Article 4. Reservation Process and Confirmation

The Customer selects the service, date, time, boarding point, and number of participants, then confirms their order after accepting these GTC and making payment. The reservation is firm and definitive upon actual receipt of payment and the sending of the confirmation voucher by email.

Black Tenders reserves the right to refuse or cancel any reservation for a legitimate reason, including, but not limited to: ship unavailability, passenger numbers incompatible with regulatory capacity, manifestly inaccurate information provided, or a history of behavior incompatible with the service.

Article 5. Capacity and Security

The maximum passenger capacity per vessel is strictly limited by French maritime regulations and indicated on each product sheet. This limit includes all persons on board (adults, children, infants). The Customer agrees to accurately declare the number of passengers when booking.

Any undeclared additional passenger may be denied boarding without refund.

Article 6. Price and Payment

6.1 Price

Prices are shown in euros (€) and include all taxes. They include the provision of the vessel, a professional skipper, fuel within the limits of the planned itinerary, regulatory safety equipment, and professional liability insurance.

Unless otherwise stated, the following are excluded: food and beverages, ancillary water activities (tubes, paddleboarding, diving), skipper tips, and any supplements related to an extension or change of itinerary at the Client's request, billed at the hourly rate in effect.

Black Tenders may modify its prices at any time; the applicable price is the one displayed at the time of booking.

6.2 Payment

Payment is made online at the time of booking by bank card through a secure payment provider. Black Tenders does not store any banking data. For group, private, or event bookings, payment can be arranged by bank transfer with a deposit according to the terms agreed upon in the quote.

Article 7. Right of Withdrawal

In accordance with the’article L221-28, 12° The right of withdrawal provided for in Article L221-18 of the Consumer Code does not apply to contracts for the provision of leisure activities to be provided on a specified date or period.

Consequently, sea excursions, maritime transfers, and boat privatizations do not benefit from any cooling-off period. Only the cancellation conditions set forth in Article 8 below shall apply.

Article 8. Cancellation and Modification

8.1 Cancellation at the Client's Initiative

All cancellation requests must be sent in writing to [email protected], the date the request is received will be considered. For bookings made through a partner platform, cancellations must be initiated through the booking channel.

Subject to the specific policy applicable to the reserved product (indicated on the product sheet at the time of booking), the standard terms are as follows:

  • Cancellation more than 7 days 100% refund before the date of service %; ;
  • Cancellation Between 7 days and 48 hours before the service: 50% refund %; ;
  • Cancellation less than 48 hours Before the performance, a delay of more than 30 minutes at the boarding point, or no-show: no refund.

«Premium,» «long-term private,» or «event-based» services may be subject to specific cancellation conditions, which will always be explicitly communicated to the Client at the time of booking.

8.2 Cancellation at the initiative of Black Tenders

Black Tenders reserves the right to cancel, postpone, or modify the itinerary of a service in the following cases:

  • bad or dangerous weather conditions: strong wind [exact threshold to validate], significant swell, reduced visibility, thunderstorm, gale or storm warning issued by Météo-France or the reference meteorological station; ;
  • technical breakdown, security incident, or vessel unavailability ;
  • decision or instruction from maritime, airport, prefectural, or administrative authorities; ;
  • force majeure.

The assessment of sailing conditions is the sole responsibility of the skipper, who is the final judge of the appropriateness of continuing, modifying, or canceling the outing with regard to the safety of the passengers and the vessel.

In these cases, Black Tenders offers the Client, at their choice:

  1. a fee-free report at a later date, subject to availability; ;
  2. a credit valid for 12 months on any other service ;
  3. the full refund of amounts paid to Black Tenders.

No additional compensation (transport, accommodation, loss of opportunity, incidental expenses) can be claimed from Black Tenders for cancellation due to security reasons or force majeure.

8.3 Modification initiated by the Client

Any request for modification (date, time, number of passengers, boarding point) is subject to the availability of the vessel and prior agreement from Black Tenders. An accepted modification does not equate to a cancellation. In the absence of agreement, the cancellation conditions of Article 8.1 apply.

Article 9. Performance of the service

9.1 Boarding

The Client agrees to present themselves at the indicated boarding point 15 minutes before departure time, possessing a valid form of identification for each adult passenger. A delay exceeding 30 minutes may result in the cancellation of the service without a refund.

9.2 Skipper Authority

The skipper is the sole master on board. His instructions regarding safety, itinerary, and behavior are imperative. He may at any time:

  • modify or shorten the route for safety reasons; ;
  • refuse boarding or interrupt service in cases of evident drunkenness, drug use, behavior endangering passengers, crew, or the integrity of the ship, or non-compliance with safety instructions.

An interruption for any of these reasons is not eligible for a refund.

9.3 Customer Obligations

  • wear safety equipment (vests) when requested; ;
  • supervise minors under their responsibility at all times; ;
  • respect the ship, its equipment, and the marine environment (waste, respect for fauna and protected areas); ;
  • inform Black Tenders before any medical contraindications (pregnancy, heart problems, back problems, allergies, disability) are provided, so that feasibility and safety conditions can be assessed.

Article 10. Minors and persons with reduced mobility

Minors must be accompanied by a responsible adult throughout the service. The boarding of infants and individuals with reduced mobility or medical contraindications must be brought to our attention prior to booking. Black Tenders reserves the right to refuse boarding if passenger safety cannot be guaranteed.

Article 11. Liability and Insurance

Black Tenders is covered by Professional Liability insurance covering bodily injury, property damage, and intangible damage within the scope of normal vessel operation.

Black Tenders cannot be held liable in case of:

  • non-compliance by the Client with safety instructions or skipper's instructions; ;
  • The Client's or one of their companions' reckless or negligent behavior; ;
  • Undisclosed medical contraindication. ;
  • loss, theft, or damage to personal belongings on board (passengers are solely responsible for their belongings); ;
  • force majeure ;
  • delay or obstruction attributable to a third party (port authority, customs, rescue services, maritime traffic conditions).

The Client is responsible for any damage caused to the vessel, its equipment, or third parties due to their behavior or that of their companions.

It is strongly recommended that the Client take out travel insurance covering, in particular, cancellation, trip interruption, personal liability, and bodily injury.

Article 12. Force majeure

Neither party shall be held liable for any failure resulting from a force majeure event, including but not limited to: exceptional weather, storm, prefectural wind warning, natural disaster, marine pollution, strike affecting operations, pandemic, epidemic, act of terrorism, administrative decision to prohibit navigation, or any external, unforeseeable, and irresistible event within the meaning of Article 1218 of the Civil Code.

Article 13. Personal Data

The data collected during booking is processed in accordance with the Privacy Policy and Regulation (EU) 2016/679 (GDPR).

Article 14. Image and Right to Image

Photographs or videos may be taken on board by the skipper or by a Black Tenders photographer. Unless expressly opposed in writing before the service, the Client authorizes Black Tenders to use this content for institutional communication and promotional purposes (website, social media, commercial materials), for an unlimited duration and without remuneration. The Client may exercise their right to object or withdraw at any time by simple request to [email protected].

Article 15. Claim and Mediation

All claims must be addressed to [email protected] within a reasonable time following the provision of services. Black Tenders undertakes to acknowledge receipt within 48 business hours and to respond substantively within 14 business days.

In accordance with Articles L612-1 and following of the French Consumer Code, the Consumer Client may, after having attempted to resolve the dispute directly with Black Tenders, use the following consumer mediation service free of charge:

Article 16. Governing Law and Jurisdiction

These General Terms and Conditions are governed by French law. In the event of a dispute, after all attempts at amicable settlement or mediation have failed, the French courts shall have jurisdiction, subject to public order rules protecting consumers.
